Terms of Use

Please read these Terms of Use (“Terms”) carefully before using ListGuard. By creating an account or using any part of the service, you agree to be bound by these Terms. If you do not agree, do not use ListGuard.

1. The Service

ListGuard is a Klaviyo list health management platform. It connects to your Klaviyo account via OAuth 2.0 and provides engagement scoring, automated list hygiene, win-back campaign management, suppression tracking, and list growth forecasting. ListGuard is operated by ListGuard (“we”, “us”, “our”).

ListGuard is an independent product and is not affiliated with, endorsed by, or a partner of Klaviyo Inc. Use of the Klaviyo platform is governed by Klaviyo's own terms of service.

2. Eligibility and Accounts

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or the business you represent. By using ListGuard you represent that you meet these requirements.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at support@listguardhq.com if you suspect unauthorised access.

3. Connecting Your Klaviyo Account

To use ListGuard you must connect a valid Klaviyo account using Klaviyo's official OAuth 2.0 authorisation flow. By connecting your account you authorise ListGuard to:

• Read your Klaviyo profile, event, and campaign data
• Suppress profiles in your Klaviyo account according to rules you configure
• Enroll profiles into Klaviyo flows you designate for win-back campaigns
• Create and manage suppression lists on your behalf

You may revoke ListGuard's access to your Klaviyo account at any time from the Settings page, or directly from your Klaviyo account's connected apps section.

4. Acceptable Use

You agree not to use ListGuard to:

• Suppress profiles without a legitimate business reason or without the right to do so
• Violate Klaviyo's terms of service or any applicable email marketing laws including CAN-SPAM, CASL, and GDPR
• Send win-back campaigns to subscribers who have explicitly unsubscribed or requested not to be contacted
• Attempt to reverse-engineer, scrape, or extract data from ListGuard's systems beyond what the interface provides
• Share your account credentials with individuals outside your authorised team
• Use the service to process data you do not have the legal right to access or act on
• Attempt to circumvent any rate limits, access controls, or security measures

Violation of these terms may result in immediate suspension or termination of your account without refund.

5. Your Subscriber Data

You retain full ownership of your Klaviyo subscriber data at all times. ListGuard processes this data exclusively to deliver the service to you. You represent and warrant that:

• You have obtained all necessary consents to collect and process your subscribers' data
• Your use of ListGuard complies with all applicable privacy laws in the jurisdictions where your subscribers reside
• You have a legal basis under GDPR (or equivalent legislation) for the processing activities ListGuard performs on your behalf

ListGuard acts as a data processor under your instructions. You remain the data controller. Our data handling practices are described in our Privacy Policy.

6. Subscriptions and Payment

ListGuard is offered on a subscription basis. Subscription details, pricing, and plan limits are described on our Pricing page. By subscribing you agree to pay the applicable fees for your chosen plan.

• Billing cycle: Subscriptions are billed monthly or annually depending on the plan you select
• Annual plans: Annual subscriptions are billed upfront and are non-refundable except as described in Section 7
• Automatic renewal: Subscriptions renew automatically unless you cancel before the renewal date
• Plan limits: If your Klaviyo account exceeds the profile limit of your current plan, you will need to upgrade to continue using automation features
• Price changes: We will notify you at least 30 days before any price change takes effect

7. Cancellation and Refunds

You may cancel your subscription at any time from the Settings page. Cancellation takes effect at the end of the current billing period — you retain full access until then. We do not offer prorated refunds for unused time on monthly plans.

For annual plans, if you cancel within 14 days of your initial purchase and have not executed any suppression runs, you may request a full refund by emailing support@listguardhq.com. After 14 days, annual plan payments are non-refundable.

The free plan may be used indefinitely without a subscription.

8. Free Plan

We reserve the right to modify the features included in the free plan at any time with reasonable notice. Existing free-plan users will be notified by email before any material reduction in free-plan functionality.

9. Agency Accounts

Agency plans allow you to manage multiple client workspaces under one account. By using an agency plan you represent that you have the authority to connect and manage each client's Klaviyo account and that each client has authorised you to do so.

Each client workspace is fully isolated — data from one workspace is not accessible from another. You are responsible for ensuring your clients are aware that ListGuard processes their Klaviyo data on your behalf.

10. Intellectual Property

ListGuard and all associated trademarks, software, design, and content are the property of ListGuard and are protected by applicable intellectual property laws. These Terms do not grant you any right to use the ListGuard name, logo, or other brand elements.

You retain all rights to your subscriber data, Klaviyo account content, and any content you create through the service.

11. Disclaimers

ListGuard is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that suppression actions will always execute as expected.

Klaviyo's API is a third-party service beyond our control. We are not responsible for Klaviyo downtime, API changes, or errors that prevent ListGuard from executing actions in your Klaviyo account.

12. Limitation of Liability

To the maximum extent permitted by law, ListGuard shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or subscribers, arising from your use of the service — even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the service shall not exceed the total fees you paid to ListGuard in the three months preceding the claim.

You acknowledge that suppression is a permanent action within Klaviyo and that you are responsible for reviewing and testing suppression rules before enabling automation. ListGuard is not liable for unintended suppressions resulting from rules you configure.

13. Termination

You may stop using ListGuard and close your account at any time. We may suspend or terminate your account immediately, with or without notice, if you breach these Terms, engage in fraudulent activity, or if required by law.

Upon termination, your right to use the service ends immediately. Cached data associated with your account will be deleted within 30 days. Your Klaviyo account and all subscriber data remain unaffected — ListGuard cannot and does not delete data from your Klaviyo account upon termination.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Your continued use of ListGuard after the effective date constitutes your acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with applicable law. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction, as agreed between the parties.
